The Corporate Affairs
Commission (The body responsible for registering of businesses) was established
by the companies and allied matters act, which was promulgated in 1990 to
regulate the formation and management of companies, formalizing incorporated
Trusteeships, registration of schools, religious organizations, NGO’s, etc in
Nigeria.
The establishment of
the Corporate Affairs Commission as an autonomous body was as a result of the
perceived inefficiency and ineffectiveness of the erstwhile Company Registry, a
department within the Federal Ministry of Commerce and Tourism which was then
responsible for the registration and administration of the repealed Companies
Act of 1968.
For
instance, if you want to register a business name, you can do it in two ways.
One is to engage the services of a lawyer or Business consultants in CAC
matters and they will get it done for you with about N20,000- N25,000.
The
second way to get your business name registered is to do it YOURSELF. Yes,
you can walk into any State Office of the Corporate Affairs Commission and get
your business registered.
The
trouble with this is that if you do not know the secrets of going
about it, you will spend months trying to get your business name registered.
And I've not even considered those that will be asking you for bribe before you
get your business done. This report will reveal the secrets to you.

WHY DO YOU EVEN NEED TO HAVE A CORPORATE NAME

First Thing You Should Do
Once
you are ready to register your business name with the Corporate Affairs Commission,
the first thing you should do is to go to their office nearest to you.

It costs just Five Hundred Naira only. You will be given a receipt and a form.
On the form, you will be asked to fill in a few details. Details like...

A Space to Fill The Type Of Business You Want to
Register
You
will be required to choose two names. The reason is that if one is not
available, they can reserve the other for you. If none of them
is available,
you will need to do it all over again. You will have to pay the N500 again and
you will have to wait for the result and this sometimes doesn’t come as quickly
as expected due to the following reasons...

When
you ask for a name reservation, it takes sometimes about 2 weeks before the
results are returned. It is sometimes as fast as 2days for those of us who had
been in the business long ago or 10 days or sometimes 2 weeks for those who has
all the patience. Now imagine if your chosen business name is not available,
you have to go through that 2 weeks process again. If the new one is not
available as well, you have to go over the process again and again. That is why
it takes people such a long time to achieve their dream of registering a
company or other corporate name.
What can You do to Prevent DELAY in getting your name
approved?
Dear
Reader, what you need to do is to choose a name no one else would have chosen.
Now, you have to be smart and ingenious about it. If you choose just any name,
I can assure you someone must have registered it.
Don't
even think registering names such as these will be easily available...

probability they have been taken. Do you doubt me? Let me give you an example.
I
once attempted to register “IDEAS AND PROSPECTS ENTERPRISES” and I was
confident it would be available. To my surprise after 2 weeks, it was already
taken.
So
you should be creative and at least be able to think outside the box in
crafting your desired name for CAC purpose. Today, I think hard before I submit
the form.
So
now, we have sorted that. You will have to wait till the result comes out.
There is nothing you can do about that. You just have to wait. All I'll advise
you to do is to get ready so when the results comes out, you will be prepared
to register it immediately.
Prepare
2 passport photographs and a copy of a VALID national Identification such as
Driver’s Licence, National I.D Card, Permanent Voter’s Card or International
Passport, other subscribers photographs and their details, your address (you
can use your residential address if you operate from home ), telephone number
(use GSM), local government area, email address, etc.
Here
is why I'm telling you to be prepared. You see, we want to get your business
name registered in record time so we want to move faster than normal. When name
reservation results comes out, what people normally do is to start studying the
new documents they are provided with to fill.
I
remember one particular occasion when I made an error in filling some details
and had to TIP-EX the error, the form was returned so I had to go back the
following day to obtain another form because CAC doesn’t permit such mistakes
at all. I'd wasted another 24 hours.
If
you prepare early, you will get your registration done once the results are
out.
Here Is Something Important You Have To Prepare For...
You
see, the CAC requires that you state what your business is all about. You have
to state at least one thing or two to three but related objects. They want to
know what your business is about before they can register the name.
This is Where A Lot Of People Waste Time
The
first time I tried to register a company, I filled in the following as my
object.

I
submitted that and it got rejected. I went back and rephrased it and submitted
again. I got rejected the second time. I kept trying and trying and I was
getting rejected.
It

that best describes what your business is about.

businesses will fall under one of these, if not, just use General Merchandise.
Now You Are Prepared...
Once
your name reservation is out, speak to any officer there and you will be given
a file and some documents to fill. In some CAC State Offices, they would have
given you this form and file right from the first day you applied for name
reservation.
You
can fill the form right away with your name, phone number, and address
including LGA, other subscriber’s details, and passport photographs (you will
staple it and make sure you write your name behind the passports and sign
them). And don’t forget to fill the forms in Block LETTERS.
After
you're done filling the documents, you can then submit for registration as in
the case of Business Names but other incorporation need to go through
stamp-duty and sometimes publications in national dailies( Incorporated
Trusteeships).
Once
you submit your document for registration it does not really guarantee that the
name will be registered because the whole document will still be subject to
verification, what they look for at the verification process are things like
your objects, how you’ve filled the form and so on. If you fill everything
properly, your verification process would be a smooth one-time thing.
Right
at CAC office, there are paying cubicles of receiving banks for all payments
associated with CAC, you will pay the necessary fee and obtain a government
receipt thereafter your form is ready for processing. You should be asked to
come back in about 3 weeks or less for your certificate. The official fee for
registration of business name is N10, 000.
DOESN’T IT SOUND EASY RIGHT?
That
is it about the registration of BUSINESS names, for other registrations such as
Limited Liability Companies, Schools, Religious bodies, Clubs/Associations,
N.G.O, etc; the process is similar at the NAME SEARCH/AVAILABILITY stage but
differs in some other areas. As a result of their peculiarity, you must consult
a lawyer or a business consultant with track record to guide you to avoid
pitfalls.
Now
go out there to register your business names. You can register as many as
possible and can even make money registering it for others for a fee of about
